Terms and Conditions
1 Definitions and Interpretation1.1 Definitions. As used in this Agreement and the Annexes thereto:
“Administrator” The person designated as the administrative contact in the application form.
“Agreement” The present agreement including the present terms and conditions, annex 1 and the application form.
"Alicorporate" The "Alitalia Corporate Reward Scheme" being the Alitalia loyalty scheme for companies and public organizations “Confidential Information” Shall mean any information related to the Member Net Value, and any information related to the Member and its use of Alicorporate.
“Flights” Shall only mean the flights booked and paid to Alitalia by the designated travel agency having given its Alicorporate Number, and effectively flown by the person for which the Member paid the flight during the Term of the Agreement. The code-share flight where Alitalia is a marketing carrier (operated by a partner airline), the flights re-booked on other carriers, the flights issued on other carriers, the tickets issued with a group fares, the travel agents discounted tickets, the MilleMiglia premium tickets and the premium tickets received with Points will never be considered as Flights. Flights must be booked through the preferred travel agent designated by the Member.
“Membership regulations” Membership to Alicorporate and the accrual and redemption of cash-back or Points is regulated by the Agreement.
“Member” A commercial or public entity registered in Belgium subject or not to VAT following the Belgian law, accepted by Alitalia as a member. No individuals even if they are subject to VAT may apply for membership. No travel agent may apply for membership.
“Net Value” Shall mean the total amount in Euro shown on the ticket during the Term of the Agreement for the Flights from which are deducted the airport taxes, the handling charges, fuel additional charges, the administration fees and any additional charges.
“Premium Tickets” Shall mean the tickets that could be obtained by using Points following the thresholds and the conditions detailed in the table in Annex 1"Term" shall mean the duration of this Agreement.
1.2 Plural and Singular. Any of the above words and expressions shown in the singular shall have the same meaning when used in the plural and vice versa.
1.3 Headings. The Section headings are for the sake of convenience only and shall not affect the interpretation of the Agreement.
1.4 References. All references to Sections are to sections of the Agreement, except if stated otherwise.
1.5 Persons. Any reference to persons includes natural persons, firms, partnerships, companies, corporations, unincorporated associations, local authorities, governments, states, foundations, and trusts (in each case wheither or not having separate legal personality) and any agency of any of the above. References to a person of one gender include all genders.
2. Confidentiality
2.1. Use and Protection of Confidential Information. Alitalia agrees to hold Confidential Information in confidence and to use the Confidential Information only for the purposes expressly permitted under this Agreement, and to disclose Confidential Information only to its employees and contractors, and then only on a need-to-know basis. Alitalia agrees to maintain adequate internal procedures, including appropriate agreements.
2.2. Limitations. Confidential Information does not include information which
• is rightfully in Alitalia's possession in a complete and tangible form before it is received from the Member,
• is or becomes a matter of public knowledge through no fault of Alitalia.
2.3. Legally Compelled to Disclose. If Alitalia (including, without limitation, its advisors, agents, consultants, sub-contractors, and employees) is requested or legally compelled to disclose any of the Confidential Information, then it shall (or shall procure that the person in question shall) provide the Member with prompt written notice so that the latter may make an application for injunctive relief or other appropriate remedy to prevent such disclosure.
2.4. Expiry or Termination. Upon demand from the Member, Alitalia shall (and shall procure that any persons to whom they have transmitted such Confidential Information) destroy or erase, as appropriate, all Confidential Information disclosed to them and (if requested by the other Party) shall make a declaration to that effect.
2.5. Survival. This Section 2 shall survive the expiry of this Agreement for a period of one (1) year.
3. General Representations and Warranties
3.1. Corporate Existence. The Member hereby represents and warrants to Alitalia that it is a legal entity which is duly organized, validly existing and in good standing under the laws of Belgium.
3.2. Authorization. The Member hereby represents and warrants to Alitalia that it
• has the corporate power and authority and the legal right to enter into this Agreement and to perform its obligations hereunder; and
• has taken all necessary corporate action on its part to authorize the execution and delivery of this Agreement and the performance of its obligations hereunder.
4. Term
Alicorporate membership lasts between 12 to 15 months depending on the date of enrolment. The membership starts from the day during which the Member receives its membership number, and terminates on the last day of the quarter that follows the 12th month following the start of the membership.
5. Membership
5.1. For the membership subscription, the company must send directly the application form by fax au 02/551.11.32 or fill it out on the Alitalia Website.
5.2. Travel Agents may not register for Alicorporate membership. They only can book Flights for Members who designated this agency in their application form.
5.3. Each membership account is in the sole name of the company and there is only 1 account number by Company.
5.4. It is the Member’s responsibility to appoint the Administrator as the main contact who will deal with the use of the account and be accountable for it.
5.5. The Administrator will send within a week after having received the Alicorporate number a list with the first and last name of all employees who could fly within the Alicorporate program. Each employee will receive an Alicorporate card that will give him access to future benefits and will be the evidence that he or she is a regular employee of the Member. The Administrator will confirm to Alitalia following any request, that a person from whom the name is given within the Alicorporate is effectively a Member’s employee. It is the Member Administrator’s responsibility to inform Alitalia of any changes of personal details linked to the Alicorporate accounts. The privacy policy detailed below will be applicable for these personal data.
5.6. Each employee included on the list given by the Administrator could join for free the frequent traveler Alitalia program Mille Miglia. By being a member of this program the employee will receive miles for the very same flights that are included in the Alicorporate program and flown by this employee. For membership to the MilleMiglia Program, the Member employee can subscribe him or herself online.
5.7. The Member is fully responsible of any information and behavior of its designated Administrator. The Member will immediately inform Alitalia in case the Member would decide to change the Administrator.
5.8. Membership of Alicorporate is subject to the Agreement. Alitalia reserves the right to refuse or withdraw the membership if any section of the Agreement is not met or obeyed. If Alitalia suspects fraud or misconduct, rewards (points or cash back) may be refused or cancelled by the sole decision of Alitalia.
5.9. Should Alitalia discover intentional misuse of any account or breach of any section of this Agreement, or theft or misconduct in relation to Alitalia or if false or misleading information is supplied or in the event of abusive or offensive behavior towards Alitalia staff, Alitalia reserves the right to close the account and cancel any amount of cash-back or points accrued immediately.
5.10. The Alicorporate account number is allocated to a specific company and subject to prior approval by Alitalia. This number will be faxed or mailed to the Administrator once and if the application has been processed.
5.11. The Member will make on its application form a single and final choice whilst choosing between cash back or points. It is and will not be possible to change the choice of the type of reward after having filed the application form.
6. Cash-back
6.1. Cash back is one of the two reward methods proposed to the Members of the Alicorporate Program. If a Member chooses the cash back system, his account number will be linked to an account where accrued cash-back will be registered.
6.2. Cash-back is only calculated on the basis of Flights
6.3. The cash-back amount is fixed by calculating 5% of the Net Value as soon as during the Term the Net Value will be higher that Euro 10.000 with a maximum Net Value of EUR 150.000. This means that the maximum cash back that could be reimbursed is Euro 7.500 for one Member.
6.4. Cash-back amounts will be paid to the Companies 3 months after the end of the Agreement via bank transfer to the Member’s bank account specified in the application form. Every 3 months the Member’s Administrator will receive a report/status where the accrued cash back will be detailed. The accrued cash back as it will appear on the quarterly sent status will be for information only and only the final figure that will be calculated after the Term will be considered as the official cash back amount. The accrued cash back will be updated on average on a quarterly basis.
6.5. The Member will have thirty days (30) to complain by fax to Alitalia if he does not accept the final figure. He should send a detail of his calculation and his non accrued Flight to Alitalia who will have thirty (30) days to answer.
6.6. Flights are only eligible for allocation of cash-back if the Alicorporate account number is provided at the time of booking.
6.7. Cash-back accrued to a Member cannot, under any circumstances be transferred into the account of another Member unless one Member should buy 100% of the other Member’s shares and give a complete and detailed information to Alitalia concerning this transaction.
6.8. Alitalia reserves the right to award additional cash-back during specific promotional campaigns.
6.9. The amount of cash-back awarded cannot in any circumstances be negotiated.
6.10. Alitalia reserves the right to reclaim cash-back credited in error.
7. The points
7.1. Allocation of Points is one of the two reward methods proposed to the Members of the Alicorporate Program. If a Member chooses the Point system, his account number will be linked to an account where Points will be registered.
7.2. Points is only calculated on the basis of Flights.
7.3. The number of Points is fixed by allocating one Point for each euro of the Net Value as soon as during the Term the Net Value will be higher that Euro 10.000 with a maximum Net Value of EUR 150.000. This means that the maximum number of Points is 150.000 Points for one member.
7.4. Every 3 months the Member’s Administrator will receive a report/status where the accrued points will be detailed. The accrued Points as it will appear on the quarterly sent status will be for information only and only the final figure that will be calculated after the Term will be considered as the official number of Points. The accrued points back will be updated on average on a quarterly basis.
7.5. The Member will have thirty days (30) to complain by fax to Alitalia if he does not accept the final figure. He should send a detail of his calculation and his non accrued Flights to Alitalia who will have thirty (30) days to answer.
7.6. Flights are only eligible for allocation of Points if the Alicorporate account number is provided at the time of booking.
7.7. Points accrued to a Member cannot, under any circumstances be transferred into the account of another Member unless one Member should buy 100% of the other Member’s shares and give a complete and detailed information to Alitalia concerning this transaction.
7.8. Alitalia reserves the right to award additional Points during specific promotional campaigns.
7.9. The amount of Points awarded cannot in any circumstances be negotiated.
7.10. Alitalia reserves the right to reclaim Points credited in error.
7.11. The points have no value and are only valid until six months after the expiry of the Agreement unless there is a renewal of the Agreement. In this case the Points will stay valid for one year after the Term of the Agreement under which the Points were accrued.
8. Conditions for using points in order to obtain the premium tickets
8.1. The Premium Tickets will have to be asked by the Member’s Administrator, exclusively for the Member’s employees, and only by phone (02 /551.11.28 - Monday to Friday from 09h00 till 17h30).
8.2. The reservation only must be ordered to the Alicorporate team trough the phone and cannot be handled by a travel agency.
8.3. The Premium Tickets will be issued either in economic class or in Business class according to the number of points, the availability and the Member’s choice.
8.4. The Premium Tickets only will be issued for flights operated by Alitalia with a confirmed reservation according to the availability of places.
8.5. The Premium Tickets will be emitted in the form of an electronic ticket.
8.6. The Points used in order to order a Premium Ticket will be considered as used by the Member as far as the order of the Premium Ticket is done, even if the Premium Ticket is never used.
8.7. The airport taxes, fuel additional charges and security taxes will be paid by the Member or the passenger before issuing the electronic ticket.
8.8. The Premium Tickets will have a validity of 6 months from the date of order; beyond this expiry date they cannot be used, or reimburse, or re-issue, or extend, or modify.
8.9. After issuing of the Premium Ticket the date of the flight could be changed by Alitalia following the Member’s request according to availability. The change of the passenger’s name or itinerary is not authorized. Stop over are in any case never allowed.
8.10. The Premium Tickets can be asked within 6 months after the Term of the Agreement.
8.11. The Premium Tickets do not give Alicorporate points.
9. Additional Information
9.1. The booking of flights and carriage by air is governed by Alitalia's Global Terms and Conditions.
9.2. The Agreement will be valid during the Term unless otherwise expressively stated. New Membership could be stopped by Alitalia without further notice.
9.3. Participation in Alicorporate may incur tax and social security liability for the Member depending on its own internal policy of allocating points or cash back to its employees. It is the Member’s responsibility to take any necessary action concerning these potential liabilities.
10. Force Majeure
10.1. General. Alitalia shall not be liable for delays, loss, damages, or other consequences of acts, omissions, or events beyond Alitalia’s control and which may not be overcome by exercising all due diligence, including but not limited to wars, revolutions, terrorism, Acts of God (including but not limited to fires, floods, explosions, power or air-conditioning failure, voltage surges, humidity, and earthquakes), governmental regulations, and labor strikes or unrest.
10.2. Notice and Consequence. If Alitalia is unable to fulfill its obligations due to any event of Force Majeure. The obligations of Alitalia shall be suspended to the extent and for the time that Alitalia is affected by an event of Force Majeure.
11. Miscellaneous
11.1. Alitalia reserves the right to amend, even partially and at any time, the terms relating to the accrual of cash-back and points, provided benefits already awarded to Members are not affected.
11.2. Assignment. None of the rights and obligations under this Agreement may be assigned or delegated by the Member to a third person without the prior written consent of the Alitalia. Any attempt by the Member to assign or delegate any right or obligation under this Agreement without such consent or notice, as the case may be, will be voidable.
11.3. Severance and Illegality. If any provision of this Agreement or part hereof is held by a court of competent jurisdiction to be invalid or unenforceable for any reason, the remainder of the provisions shall remain in full force and effect and, if necessary, be so amended as shall be necessary to give effect to the spirit of this Agreement so far as possible.
11.4. Exclusion of Waiver. No failure to enforce any provision, assert any right, or insist on the performance of any obligation under this Agreement in any instance, shall be deemed a waiver of the ability to enforce such provision, assert such right or insist on the performance of such obligation in the future.
11.5. Modification. No course of dealing or informal communication of any kind shall be deemed to amend this Agreement. Except as may otherwise be set forth herein, this Agreement may be amended only by means of a formal written document signed by duly-authorized representatives of both Alitalia and the Member. Any supposed oral amendment shall be null and void.
11.6. Choice of Law and Competent Courts. The validity, construction and performance of this Agreement shall be governed by the laws of Belgium. Any dispute arising under this Agreement shall be submitted to the jurisdiction of the competent courts of Brussels.
11.7. Entire Agreement and Precedence over Other Agreements. The Agreement constitute the entire agreement and understanding of the Member and Alitalia and supersede any previous agreements between the Parties relating to the subject matter hereof.
11.8. Inconsistency. In case of an inconsistency between the provisions of the Agreement and those of any future Annexes or appendixes, the provisions of the Agreement shall prevail to the extent of any such inconsistency. In case of an inconsistency as between any provisions within the Agreement, such inconsistency shall be interpreted in accordance with the common intention of the Parties.
11.9. No Agency, Partnership or Employer-Employee Relationship. This Agreement shall neither constitute the Member as an agent, partner, joint venture, employer, or the like of the Alitalia nor authorize the Member to deal in the name of Alitalia.
11.10. Notices and Communications. All notices given under this Agreement are to be made in writing in the English language, and may be sent by certified or registered air mail or facsimile, or courier service to the Member or Alitalia. Any notice given hereunder shall be deemed received on the date indicated on the proof of receipt. Alitalia should be noticed at Alitalia, Alicorporate Department, rue Capitaine Crespel, 2 in 1050 Brussels. The fax number is 02 551 11 32.
11.11. Alicorporate is administered by Alitalia-Linee Aeree Italiane-SPA a company incorporated under the laws of Italy No F 4305 (and registered in Belgium as a branch under no BR1133). The Belgian offices are located at rue Capitaine Crespel, 2 in 1050 Brussels.
12. Privacy policy
12.1. Alitalia fully complies with to the provisions of the Belgian Law of 8 December 1992 on the protection of individuals with regard to the processing of personal data. The Belgian law could be found on the Web Site of the Belgian Privacy commission www.privacy.fgov.be
12.2. The Responsible for the Data is Alitalia Belgium, Rue Capitaine Crespel 2-4 1050 Bruxelles.
12.3. The processing of personal data is performed only to provide you with the services for which the employees of Alicorporate Members have registered with Alicorporate i.e. to receive the Alicorporate Card, to have Flights included in the Alicorporate program.
12.4. The personal Data will never be disclosed, sell or rent to any third Party.
12.5. Alicorporate will never use the personal data of the Member’s employees for any direct contact or any direct marketing, unless an employee asks for registration into the Mille Miglia program and give his/her consent for direct marketing.
12.6. The Data will be stored by Alitalia only for the purpose of Alicorporate and will be destroyed as soon as either any employee leaves the Company, Member of Alicorporate, or after the necessary storage for the Alicorporate management of either Points or Cash Back.
12.7. Alitalia fully guarantees that the legal and technical security measures are taken by Alitalia, as requested in the Belgian Law in order to protect personal data.
12.8. Any employee could ask Alitalia which data are kept that are personal data related to this individual by contacting Alitalia by registered mail with a copy of his/her identity card. They also could ask Alitalia to correct any Data that changed or was incorrectly included in the database.
13. Exclusion.
13.1. Notwithstanding otherwise stated in the Agreement, Alitalia shall at any time have the right to (completely or partially) refuse or suspend the performance of its obligations in the event that one or more of the following circumstances are present:
• Any act of negligence by the Member;
• Any operating mistake or misuse or abnormal use by the Member;
• Any modification of the Member’s account by anyone other than an agent approved by Alitalia;
• Any of the Force Majeure circumstances described above;
13.2. Limitation of Deduction. The Member shall make all payments due to Alitalia for Flights or for any other reason without any deduction of accrued cash back, whether by way of set-off, counterclaim, discount, abatement, or otherwise.
14. Limitation and Exclusion of Liability.
14.1. Limitation of Liability. Notwithstanding the non-enforceability or invalidity of any other provisions of the Agreement, the Alitalia's maximum aggregate liability arising out of or in connection with the Agreement, whether in contract, tort (including negligence and breach of statutory duty) or otherwise, shall in no circumstances exceed 50% of the Net Value. Any and all claims by the Member shall be prescribed (time-barred) after a period of one (1) year from the date on which the circumstances that warrant such claim have first occurred.
14.2. Exclusion of Liability. In no case shall Alitalia be held liable in the event that the Member has not fulfilled one or more of its obligations defined in the Agreement. Further, Alitalia shall not be liable vis-ŕ-vis the Member (nor any of its agents, sub-contractors, employees, End Users or any other person howsoever related to the Customer) under or in connection with the Agreement for:
15. Any loss of income, profit, goodwill, business, contracts, anticipated savings, revenue, and loss or corruption of data (including the reconstruction thereof); and/or
16. Any indirect or consequential loss or damage of any kind howsoever arising; whether caused by breach of contract, tort (including negligence or breach of statutory duty) or otherwise, and whether or not (in each case) Alitalia was advised in advance of the possibility of any such loss.
• 17. Annex 1 SCALE FOR USING THE POINTS
